Terms of Service

Last updated: September 20, 2026. Please read these Terms carefully before registering an agency account or using NextaPanel.

1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you (an agency, an authorized representative of an agency, or an end-user accessing the Service through an agency) and NextaPanel ("NextaPanel", "we", "us", or "our") governing your access to and use of nextapanel.com, panel.nextapanel.com, and any related dashboards, APIs, subdomains, or services we operate (together, the "Service").

By creating an account, connecting a server, accessing the dashboard, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms, our Cookie Policy, and any policies referenced in them. If you do not agree, you must not register for or use the Service.

If you are registering on behalf of a company, agency, or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" and "Agency" will refer to that entity.

2. Definitions

  • "Agency" - a person or organization that registers a NextaPanel account to host and manage websites for its own clients.
  • "Client" - a person or organization an Agency grants access to within its NextaPanel account, or on whose behalf an Agency hosts a website using the Service.
  • "End User" - any visitor to a website, mailbox, or application hosted through the Service, whether or not they hold an account.
  • "Content" - any website, application, file, database, email, or other material uploaded, installed, configured, or transmitted through the Service by an Agency, a Client, or anyone the Agency permits to use the Service.
  • "Server" - any server, virtual machine, or infrastructure an Agency connects to their NextaPanel account, whether owned, leased, or otherwise controlled by the Agency.

3. Eligibility & Registration

NextaPanel is open to agencies located anywhere in the world, subject to applicable trade, sanctions, and export-control laws. By registering, you represent that:

  • You are at least 18 years old, or the age of legal majority in your jurisdiction, and have the legal capacity to enter into a binding contract;
  • The registration information you provide - including your name, agency/company name, email address, and billing details - is accurate, current, and complete, and you will keep it up to date;
  • You are not located in, or a national of, any country or region subject to comprehensive trade sanctions, and are not on any restricted-party or denied-persons list maintained by an applicable government authority;
  • You are solely responsible for maintaining the confidentiality of your login credentials and API tokens, and for all activity that occurs under your account, including activity by your Clients and anyone you grant access.

We reserve the right to refuse, suspend, or terminate registration for any account that we reasonably believe provides false, misleading, or incomplete information, or that fails to meet these eligibility requirements.

4. The Service

NextaPanel is a hosting control panel that Agencies use, on servers they already own or control, to provision, manage, and bill for websites, databases, email, backups, and related infrastructure on behalf of their own Clients. NextaPanel does not itself own, lease, or operate the underlying Servers an Agency connects - the Agency is solely responsible for the Server, its provider, its physical or cloud location, and compliance with that provider's own terms. See Section 7 for what this means for responsibility over Content hosted on those Servers.

We may add, change, suspend, or discontinue any feature of the Service at any time, and may impose limits on certain features (for example, storage, number of sites, or API usage) without liability to you, except where required by law.

5. Fair Use & Agency Responsibilities

You agree to use the Service fairly and in good faith, and not in any way that degrades the Service, circumvents its intended limits, or interferes with other Agencies' use of shared platform infrastructure (such as our authentication, billing, DNS, or webhook systems).

As an Agency, you are the operator of record for every Client and every Content hosted under your account. You are responsible for:

  • Vetting the Clients you onboard and the Content they publish through your account;
  • Ensuring your Clients agree to acceptable-use terms at least as strict as this Section 5 and Section 6 before you host their sites, and enforcing those terms;
  • Responding promptly to abuse reports, legal notices, or takedown requests concerning Content hosted under your account;
  • Keeping your Servers patched, secure, and free of malware, and cooperating with us in good faith if we notify you of a security issue affecting shared infrastructure.

You may not - and may not permit any Client or End User to - attempt to gain unauthorized access to any part of the Service, probe or scan its infrastructure for vulnerabilities, reverse-engineer the dashboard or API beyond what is necessary for ordinary use, or use the Service to build a competing white-label panel product by copying our software.

6. Prohibited Content & Activities

You must not use the Service, and must not allow any Client, End User, or anyone acting on your behalf to use the Service, to host, publish, store, transmit, distribute, promote, or link to any Content or engage in any activity that:

  • Involves child sexual abuse material (CSAM), the sexual exploitation of minors, or any content that endangers children in any way. This is a zero-tolerance violation; we will remove such Content immediately, terminate the associated account without notice, and report it to the National Center for Missing & Exploited Children (NCMEC) and/or other relevant law enforcement authorities as required or permitted by law;
  • Involves terrorism or violent extremism, including content that promotes, finances, recruits for, or provides material support to a terrorist or violent extremist organization or act;
  • Facilitates fraud, including phishing, identity theft, credential harvesting, fake/counterfeit goods, advance-fee scams, pyramid or Ponzi schemes, or the sale of fraudulent documents or credentials;
  • Is intended to harm others, including malware, ransomware, botnets, denial-of-service tools, doxxing, stalking, harassment, non-consensual intimate imagery, or content that facilitates violence against any person or group;
  • Constitutes hate content - material that promotes discrimination, disparagement, or violence against individuals or groups on the basis of race, ethnicity, national origin, religion, disability, gender, gender identity, sexual orientation, age, veteran status, or other protected characteristic;
  • Involves unlicensed gambling, betting, lotteries, or real-money gaming operated without the licenses required in the jurisdictions where they are offered;
  • Consists of pornographic, obscene, or sexually explicit material, or an escort/adult-services marketplace, other than content lawfully hosted in strict compliance with all applicable age-verification, record-keeping, and content laws (e.g. 18 U.S.C. ยง2257 or equivalent), which remains solely the Agency's and Client's legal responsibility;
  • Is illegal, banned, or restricted under the laws of the jurisdiction where the Content is hosted, where it targets users, or under applicable international law - including the laws of the country where the underlying Server is physically located and the countries the site is marketed to;
  • Infringes any copyright, trademark, trade secret, patent, right of publicity, right of privacy, or other intellectual property or proprietary right of any third party;
  • Distributes viruses, spyware, or other malicious code, or is used to send unsolicited bulk email ("spam"), engage in email or domain spoofing, or violate applicable anti-spam laws (e.g. CAN-SPAM, CASL, or the EU's ePrivacy rules);
  • Sells or facilitates the sale of illegal drugs, weapons, or other goods and services prohibited by applicable law.

This list is illustrative, not exhaustive. We may determine, at our reasonable discretion, that other Content or conduct violates the spirit of this Section even if not explicitly listed above, and we may request that you remove it.

The Agency is responsible for ensuring none of its Clients or their End Users violate this Section. Hosting such Content through a Client's account is treated the same as hosting it directly.

7. No Responsibility for Hosted Content

NextaPanel is a software tool. We do not own, lease, operate, or control the Servers that Agencies connect to their accounts, and we do not select, review, approve, or publish any Content before it goes live. Every website, database, mailbox, and file placed on a connected Server is created, uploaded, and controlled by the Agency or its Client using their own infrastructure - NextaPanel only provides the dashboard used to provision and manage it.

Accordingly, as between the Agency and NextaPanel, the Agency - and, where applicable, its Client - is solely and exclusively responsible for all Content hosted through the Service, including its legality, accuracy, and compliance with Section 6 and all applicable law. NextaPanel is not the publisher, host, or owner of that Content merely by virtue of providing the management software, and does not monitor Content on connected Servers as a matter of course.

To the maximum extent permitted by law, NextaPanel disclaims any and all responsibility or liability for prohibited or illegal Content placed on a Server by an Agency, a Client, or any End User, and for any harm arising from it. This does not limit our right, described in Section 8, to act on Content we do become aware of, including by disconnecting the Server or terminating the account.

8. Enforcement, Suspension & Termination

If we reasonably believe that your account, a Server connected to it, or any Content hosted through it violates Section 5, Section 6, or applicable law, or poses a security, legal, or reputational risk to NextaPanel, other Agencies, or third parties, we may take any of the following actions at our sole discretion, with or without prior notice:

  • Remove or disable access to the offending Content;
  • Disconnect, suspend, or restrict access to one or more Servers connected to your account;
  • Suspend or permanently terminate your Agency account and any associated Client accounts;
  • Withhold or reverse pending payouts related to the violation, to the extent permitted by law;
  • Report the Content or conduct to law enforcement, payment processors, domain registrars, or other relevant authorities.

For severe violations - including those listed in Section 6 involving CSAM, terrorism, or imminent harm to others - we may disconnect Servers and terminate the account immediately and without any prior notice or opportunity to cure. For less severe or ambiguous violations, we will generally attempt to notify you and provide an opportunity to remedy the issue first, but we are not obligated to do so.

Termination or suspension under this Section does not entitle you to a refund of fees already paid, and does not relieve you of any fees already owed to us. You remain solely responsible for any consequences to your Clients or End Users resulting from action we take against Content or Servers that violate these Terms.

You may close your own account at any time from your dashboard settings; doing so does not waive any fees already due.

9. Billing & Payments

Fees for the Service are described on our Pricing page or in your specific plan, and are billed in advance on a recurring basis unless stated otherwise. You authorize us (or our payment processor) to charge your payment method for all fees owed, including applicable taxes. Fees are non-refundable except where required by law or expressly stated otherwise.

Where NextaPanel provides an in-panel payment collection feature that lets an Agency bill its own Clients, the Agency is solely responsible for the accuracy of the invoices it issues, for complying with applicable consumer-protection and tax laws in its own billing relationship with its Clients, and for any disputes, chargebacks, or refunds arising from that relationship. NextaPanel is not a party to the contract between an Agency and its Clients.

Failure to pay fees when due may result in suspension or termination of your account under Section 8.

10. Privacy & Data We Collect

This Section summarizes how we handle personal data; our full Cookie Policy covers cookies and similar technologies specifically.

10.1 What we collect

When you register an Agency account, we collect basic account and billing information, including your name, agency/company name, email address, billing address, and payment details (processed by our payment provider - we do not store full card numbers ourselves). We also collect operational data generated by your use of the Service, such as server connection details you provide, support tickets, and API/usage logs, to operate, secure, and improve the Service.

10.2 Why we collect it

  • Billing and account administration - to create and maintain your account, calculate and collect fees, and prevent fraud;
  • Keeping in contact with you - to respond to support requests and communicate about your account;
  • Promotions and updates - to send you information about new features, offers, and changes to the Service (you may opt out of promotional messages at any time; see Section 11);
  • Necessary system emails - to send transactional and account-critical messages to your registered email address, such as invoices, payment failures, security alerts, password resets, and policy notices (these cannot be opted out of while you hold an active account, as they are necessary to operate the Service safely).

10.3 How we protect and share it

We do not sell your personal data. We share it only with service providers who help us operate the Service (for example, payment processors and email delivery providers) under confidentiality obligations, or where required by law, legal process, or to protect the rights, property, or safety of NextaPanel, our users, or the public - including to investigate suspected violations of Section 6.

We retain account and billing data for as long as your account is active and for a reasonable period afterward to comply with tax, accounting, and legal obligations, and to resolve disputes. You may request access to, correction of, or deletion of your personal data (subject to our legal retention obligations) by contacting us using the details in Section 19.

If you are located in the European Economic Area, the United Kingdom, California, or another jurisdiction with its own data protection law, you may have additional rights under that law (such as the GDPR, UK GDPR, or CCPA/CPRA); we honor those rights to the extent they apply to you.

11. Communications & Emails

By registering, you consent to receive email at your registered address. We distinguish between two categories:

  • System and transactional emails - invoices, payment receipts and failures, security notices, password resets, and required legal or policy notices. These are a necessary part of the Service and are sent regardless of your marketing preferences.
  • Promotional emails - product updates, tips, and offers. Every promotional email includes an unsubscribe link, and you may opt out at any time without affecting your ability to use the Service.

We do not sell or rent your email address to third parties for their own marketing purposes.

12. Intellectual Property

The Service - including the NextaPanel dashboard, its software, design, logos, and documentation - is owned by NextaPanel and protected by copyright, trademark, and other intellectual property laws. Subject to these Terms and your subscription remaining active, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your Agency's own hosting business, including white-labeling the dashboard for your Clients where that feature is provided. You may not copy, resell, sublicense, reverse-engineer, or create derivative works of the Service's underlying software outside of that intended use.

As between you and NextaPanel, you and your Clients retain all ownership rights in the Content you upload or host through the Service. By hosting Content through the Service, you grant NextaPanel only the limited technical rights necessary to store, transmit, back up, and display that Content as part of operating the Service on your behalf - we claim no other ownership interest in your Content.

13. Copyright / DMCA Complaints

We respect the intellectual property rights of others and expect Agencies to do the same. If you believe Content hosted through the Service infringes your copyright, you may send a notice to [email protected] that includes:

  • A description of the copyrighted work you claim has been infringed;
  • The specific URL or location of the allegedly infringing Content;
  • Your contact information (name, address, phone number, and email);
  • A statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law;
  • A statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on their behalf;
  • Your physical or electronic signature.

Upon receiving a valid notice, we may remove or disable access to the identified Content and will notify the responsible Agency. Agencies whose Clients repeatedly infringe third-party copyright are subject to account termination under Section 8. A party who believes Content was removed in error may submit a counter-notice to the same address; we will process it in accordance with applicable law.

14. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that any Content will be preserved without loss. You are responsible for maintaining your own independent backups of critical Content where the underlying Server or plan does not include this. As set out in Section 7, we make no representation or warranty regarding Content hosted by an Agency or Client on their own Server, since NextaPanel neither owns nor controls that infrastructure.

15. Limitation of Liability

To the maximum extent permitted by law, NextaPanel and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of, or inability to use, the Service - even if we have been advised of the possibility of such damages. This includes, without limitation, any liability for Content hosted by an Agency or Client on a Server they own or control, as described in Section 7.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the total fees you paid to NextaPanel in the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you in full.

16. Indemnification

You agree to defend, indemnify, and hold harmless NextaPanel and its officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your or your Clients' Content or use of the Service; (b) your violation of these Terms, including Section 6; (c) your violation of any law or the rights of any third party; or (d) any dispute between you and a Client or End User.

17. Governing Law & Disputes

These Terms are governed by the laws applicable in the jurisdiction where NextaPanel is legally registered, without regard to conflict-of-law principles, except where mandatory local consumer-protection law grants you additional rights that cannot be waived. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally will be subject to the exclusive jurisdiction of the competent courts in that jurisdiction, unless applicable law requires otherwise.

Before filing a formal claim, you agree to first contact us at [email protected] and give us a reasonable opportunity (at least 30 days) to resolve the dispute informally.

18. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Service, legal requirements, or our practices. If we make material changes, we will notify you by email to your registered address and/or a notice within the dashboard before the changes take effect. Continued use of the Service after the effective date of an update constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and may close your account.
